Terms of Use

These Terms of Use (“Terms”) govern your access to and use of www.quandis.com, its subdomains, and the documentation, guides, and other materials we publish there (together, the “Site”). The Site is operated by Quandis, Inc. (“Quandis”, “we”, “us”). By using the Site, you agree to these Terms. If you use the Site on behalf of an organization, you agree on its behalf and confirm you have authority to do so. If you don’t agree, please don’t use the Site.

1. The Site and our products

These Terms cover the Site only. Use of Quandis products and services, including the QBO platform, QDocs, Military Search, Bankruptcy Search, Title Direct, ADR, and DRA, is governed by the written agreement between Quandis and the customer (a “Customer Agreement”). If these Terms conflict with a Customer Agreement, the Customer Agreement controls.

Our Privacy Policy explains how we handle personal information collected through the Site and is part of these Terms.

2. Who may use the Site

The Site is intended for business use by people at least 18 years old. Military Search and Bankruptcy Search are available only to organizations with a permissible purpose under applicable law, and are not offered to consumers.

3. Using the Site

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to view and use the Site for your internal business purposes, including evaluating and using Quandis products.

You agree not to:

  • copy, modify, distribute, sell, or create derivative works from Site content, except as these Terms allow;
  • use robots, scrapers, or other automated means to access the Site or collect its content, except for search engines and similar services that follow our robots.txt;
  • probe, scan, or test the vulnerability of the Site or our systems, or bypass any security or access control (to report a security issue, see Contact us);
  • interfere with or disrupt the Site, including by overloading it or introducing malicious code;
  • submit forms with false, misleading, or someone else’s information, or use our forms to send spam;
  • use the Site to violate any law or anyone’s rights, or to build a competing product or service; or
  • remove or obscure any copyright, trademark, or other notice.

4. Intellectual property

The Site and its content are owned by Quandis or its licensors and protected by intellectual property laws. Content includes text, graphics, logos, designs, documentation, and software. Except for the limited license in section 3, no rights are granted to you.

“Quandis”, “QBO”, “QDocs”, and our other product names and logos are trademarks of Quandis, Inc. Other names and marks on the Site, including those of our customers, partners, government-sponsored enterprises, and cloud providers, belong to their respective owners. Their use doesn’t imply endorsement.

5. Documentation and code samples

Documentation, API references, and code samples on the Site are provided for information and to help you use Quandis products. You may use and adapt code samples to integrate with Quandis products. Documentation may change as our products change. Your use of the products themselves is governed by your Customer Agreement.

Content about compliance topics is general information, not legal, regulatory, or professional advice. These topics include the Servicemembers Civil Relief Act (SCRA), the Military Lending Act (MLA), bankruptcy, and data protection. Laws change and depend on your circumstances; consult your own counsel before relying on any content for compliance decisions.

7. Demos, trials, and requests

When you request a demo, trial, or information, you agree that the information you provide is accurate and that you are authorized to provide it. Trials and other services are subject to eligibility, including a permissible purpose for Military Search and Bankruptcy Search, and to the terms we provide when we accept your request. We may decline or end any trial at our discretion.

8. Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free right to use them for any purpose without obligation to you.

9. Third-party sites and services

The Site links to and uses third-party websites and services, such as our Trust Center, partner sites, and analytics and security providers. We don’t control them and aren’t responsible for their content, terms, or practices. Your use of them is at your own risk and subject to their terms.

10. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, QUANDIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DON’T WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ITS CONTENT IS COMPLETE OR CURRENT. Warranties for Quandis products, if any, are set out only in the applicable Customer Agreement.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, QUANDIS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Quandis and its affiliates, officers, and employees from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or your violation of these Terms or of any law or third-party right.

13. Changes, suspension, and termination

We may change, suspend, or discontinue any part of the Site at any time. We may update these Terms by posting a new version here with a new “Last updated” date; changes apply from that date, and continuing to use the Site means you accept them. We may suspend or end your access to the Site if you violate these Terms. Sections 4, 6, and 8 through 15 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising from or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Orange County, California, and you consent to their jurisdiction and venue. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

15. General

  • Export and sanctions. You agree to comply with U.S. export control and sanctions laws in your use of the Site and its content.
  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Quandis about the Site. They don’t replace or modify any Customer Agreement.
  • Severability and waiver. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn’t a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
